Becoming an Online member. An applicant becomes an online member of Innovative Global Achievers Network, Inc. (iGAN)when the following requirements have been complied with::
1. Have purchase the minimum Product Package requirement to obtain an online account.
2. The applicant has read these policies and procedures and has signified his or her conformity thereto, by signing on the Policies & Procedures of Innovative Global Achievers Network, Inc. Or by clicking the I Agree button in the On-line registration form;
2. The applicant has read and has been informed with the basic marketing and compensation package that Innovative Global Achievers Network (iGAN) is using.
3. The applicant has applied and registered On-line;
4. The applicant has completed and signed the printed application form or the on-line members application form and the same had been accepted and approved by iGAN.
iGAN reserves the right to decline any membership application as well as terminate membership for violation of the policies and procedures of iGAN.
I.) Effect of Acceptance into Membership.
1. Shall be entitled to the rights of members as stated in these Operational Policies and Procedures.
2. Shall be bound by the terms and conditions of these Operational Policies and Procedures.
3. Acceptance into membership does not make the member a stockholder, investor or an employee of iGAN or its affiliated company.
II.) Membership through Registration.
1. Member who were able to acquire their membership to iGAN by registering themselves through the Promotional Registration Packages offered by iGAN office are required to fill-up a Registration Form that will entitled a registered member to enjoy a 1 Year Renewable membership without an Online Account.
2. They will receive a membership I.D. valid Only for 1 Year from the date of their registration with a specific inclusion of product discounts subject on the Promotional Code Offering provided by the iGAN office upon the date of his or her registration.
3. A registered member is Lock-In for a period of 1 year to the distributor or leader who have Sponsored him or her. Consequently, the same period of time allows him or her to own his or her Online Account by purchasing the current Qualifying Product Promo package offered by the iGAN office on the time of its Upgrading for an Online Account.
4. Should the registered member failed to have an Online Account after 1 Year he or she is now Free to be Sponsored by other existing leader under the umbrella of iGAN.
III.) Legal age.
1. Members must be of legal age at the time of application and qualification as a member of the iGAN.
IV.) Membership rights.
1. Any member is authorized to sell all products and services marketed by iGAN.
2. A member is entitled to participate in the Marketing& Incentive Plan Provided by iGAN.
3. A member may enroll new members under their organization.
V.) Independent Contractor Status.
1. All members of iGAN are independent contractors and not Stockholders, Franchisees, Joint Ventures, Partners, Employees, or Agents of iGAN.
2. iGAN Members are strictly prohibited from stating or implying, whether orally or in writing, that they are stockholders franchisees, joint ventures, partners, employees, or agents.
3. Members are not authorized and must not bind iGAN to any obligation.
4. Members shall not misrepresent iGAN to third parties.
Indemnity.Members agree to indemnify and hold harmless iGAN & its affiliated company, its shareholders, employees, agents, and successors in interest from and against any claim, demand, liability, loss, cost, or expense, including, but not limited to, attorney’s fees arising or alleged to arise in connection with the membership, and any matter related to the member’s performance under these Operational Policies and Procedures as well as in subsequent policies and procedures that may amend or be incorporated herein.
Taxes.iGANMembers will be treated as independent contractors for tax purposes. As independent contractors, members will not be treated as stockholders, employees, franchisees, joint ventures, partners, or agents with respect to the National Internal Revenue Code, or any other laws, ordinance, rule, or regulation.
Legal compliance.
1. All iGAN members shall comply with all national and local laws, rules and regulations as well as local ordinances concerning the operation of their businesses.
2. All iGAN members are responsible for their own managerial decisions and expenditures, including all estimated income and self-employment taxes.
Member Identification Number.
1. All iGAN members will be required to provide a Tax Identification Number (TIN) until such time a member identification number is assigned for government reporting purposes.
2. iGAN membersmust indicate their member identification number in all their correspondence, including paperwork for enrolling, product ordering, etc.
Other products and services.
1. iGANMembers are not restricted from selling the products and services of other companies as long as these are not competitors of the products and services marketed by iGAN. Members must disclose in writing to iGAN any products and services of other companies or producers they are selling for iGAN approval in order to prevent conflicts of interests. It is made clear that when same or similar products or services is launched, members will be ask to drop or withdrawn the same or similar products or services that may directly or indirectly compete with the products and services being marketed by iGAN.
2. iGANMembers are prohibited to promote products, services or income opportunities of other direct selling & multi-level companies, to iGAN customers or members.
Violation of these provisions is a ground for suspension or termination of their membership.
3. iGAN Members are likewise Prohibited from promoting or luring cross-line members who belongs to other Group and Uplines underiGAN from joining sub-grouping created by mentors or leaders. Cross lining is an unhealthy practice and considered a cancer to the organization.
NO Exclusive Territories. There are NO Exclusive Territories for marketing or enrolling Clients, Customers & Prospects, nor shall any member imply or state that he or she does have an Exclusive Territory over any Group, Agency or Company. There are No Geographical Limitations on member enrolling under the iGAN system.
Obligations of Enrollers.iGANMembers who has Sponsor a New Member are required to assure the adequate training of their Newly enrolled members. “Adequate training†includes (but is not limited to) education regarding these operational policies and procedures of iGAN, rules and regulations,joining the GAN Millionaires Academy training, the systems & structures, marketing incentive plan, product information, sound business practices, sales strategies, and ethical behavior.
1. An enroller must maintain an ongoing, Professional Leadership Association Affiliation with members in his/her organization and must fulfill his or her obligation of performing as a bonafide sales Mentor or Upline in the sale or delivery of products to the ultimate consumer. Examples of such supervision may include, but are not limited to: assistance or facilitation of needed business newsletters, written correspondence, personal meetings, telephone contact, voice mail, electronic mail, training sessions, accompanying individuals to iGAN training, and sharing genealogy information with those enrolled.
2. Members should be able to provide evidence to iGAN upon request of ongoing fulfillment of enroller responsibilities. Therefore a tracker of activities form provided by the GAN will have to be complied and validated by mentors, leaders and uplinesof the member seeking to be Accredited or Re-accredited on his or her Professional Leadership Association Affiliationbefore it is presented for Validation to the GAN office.
Member training.iGAN Members are responsible for providing training to the members they enroll. Training assistance is provided by iGAN. Further, iGAN members are encouraged to attend local and regional trainings & workshops organized by iGAN to help iGAN members to be trained, equipped and empowered.
Transferring sponsorship.means the process by which a member transfers to a different organization under a New Sponsor. A transfer request maybe made, without group inclusion, will be considered with the written consent, duly signed and notarized, from the three (3) immediate Upline’s. A transfer request, with group, will be considered with the notarized signatures of consent from the five (5) immediate Upline’s, and the notarized signatures of consent of each Downline members wishing to be included in the transfer. To complete this process all transfers of sponsorship are required to go through the following steps:
Voluntary termination. A member may voluntarily terminate his or her membership by failing to renew his or her annual membership or upon written notice to iGAN. Voluntary termination is effective upon receipt of such notice by iGAN at its home office.
A member who terminates his or her membership through a written notice to iGAN home office may reapply after a waiting period of six months from the date of termination or the month following his or her Membership Termination due to failure to renew his or her annual membership base on existing Policies covering this.
Involuntary Termination or Suspension.
1. A member may be involuntarily suspended or terminated by iGAN for violating any of the terms of these policies and procedures or the provisions of any applicable laws, rules and regulations.
2. Before suspension or termination of membership, the member shall be given by iGAN a notice regarding the violation. Members receiving such notices must respond, in writing, within 15 days upon receipt of the notice, explaining his or her side on the matter or undertake a Memorandum not to commit a similar violation again. iGAN shall thereafter give notice to the member its final decision base of its action after receipt of the notice or undertaking.
3. iGANMembers with complaint(s) against another GAN member regarding any alleged violation(s) shall notify iGAN in writing about the nature of the complaint and specifying therein the date, place and circumstances regarding the violation as may be known personally to the complainant. The iGAN member complained of shall be likewise be given a written notice by iGAN to answer the complaint against him or her within 15 days upon receipt of the notice. iGANmay require the members to attend a meeting or submit documents in order to further clarify the nature of the complaint. iGANshall thereafter give notice to the parties of its action on the matter.
4. A member adversely affected by the decision or action taken by iGAN may file for reconsideration within 15 days upon receipt of the Notice of Decision. Otherwise, the same shall be considered final and executory.
5. The terminated member must immediately cease representing himself/herself as aiGAN member, and will be barred from reapplying as a member of iGAN for a period of one year.
6. Controversies and Cases of Violations of the policies and procedures of iGAN shall first be settled amicably as much as possible in accordance with the provisions of this section.
Effect of suspension.
1. A member suspended by iGAN shall not have any right to represent himself or herself as a member of iGAN during the duration of the suspension.
2. Any commissions, royalty overrides, or bonuses due to the member will be held by iGAN during the duration of the suspension or until after GAN finally decides or undertakes a course of action on the matter.
3. At the discretion of iGAN, products and services may be purchased by a suspended member. However, should termination result, product and services may be purchased only from another iGANmember.
Effect of termination.In the event thataiGAN member is terminated, it shall take effect immediately and the member can no longer sell products and services of iGAN, or enroll other members. The member also loses all rights to commissions, bonuses, and all other benefits.
Non-Disparagement Clause. An iGAN member is Prohibited and Restricted from taking any moves both in Words and in Action that will have a Negative Impacts to the Company’s and the Organization’s reputation, products, services, management or employees. SpokenorWritten words placed in Social Media Sites that may directly or indirectly tarnish and destroy the Name of the Company its products, services and people are extremely prohibited. An Act thereof or any other similar actssuch as Defamation and Malignment is considered to be a Grievous Offense and is a Strong Ground for Termination of Membership and may be held liable civilly or criminally.
Limits on transferability or sale.
1. A member may sell, assign, or transfer his or her membership to a non-iGAN member, but he must first grant the immediate sponsor a right of first refusal.
2. No sale, assignment, or transfer of any membership shall be effective without the prior written approval of iGAN.
If it is determined by iGAN that the membership was transferred in order to circumvent compliance with these Operational Policies and Procedures, iGAN shall notify the member and the transferee a Notice to Explain why the transfer should not be declared null and void and that the member should not be suspended or terminated from membership with iGAN. The procedure to be followed would be the same as in Involuntary Suspension or Termination provision of these Operational Policies and Procedures. An administrative fee shall be charged for changing the corporate records. Violation of this provision shall make the erring member liable for suspension or termination of membership.
Vendor relationships. No member shall Contact, directly or indirectly, or speak to or communicate with any representative of any supplier or manufacturer of products and services being marketed by iGAN, except as arranged by iGAN. Violation of this provision is a ground for termination of membership and claims for damages.
Confidentiality Agreement.
1. Information contained in any genealogy or downline report provided to aiGAN member is proprietary and confidential to iGAN, and is transmitted to the member with strictest Confidentiality.
2. iGANmember agrees that he or she will not disclose any such information to any third party directly or indirectly, nor use the information to compete with iGAN or for any purpose other than promoting the income opportunity of iGAN.
3. The members do not have any right to demand from iiGAN or other GAN members the disclosure of confidential corporate information as well as the personal, private and confidential information provided by the members to iGAN.
4. Violation of this provision shall be a ground for immediate suspension or termination as the case maybe.
Succession.
1. Upon the death of aniGAN member, the right of membership shall pass by will or intestate succession, in accordance with the Civil Code of the Philippines.
2. iGAN will require the successor to provide proof of heirship and settlement of the estate of the deceased member.
4. Heirs and successors-in-interest shall likewise be bound by these policies and procedures and any amendment thereto as well as be entitled to such applicable benefits or commissions just as any other iGAN member.
Trademarks, Tradenames, and Web Domain Names.
1. The name iGAN and the names of all products and services marketed by iGAN are the registered or unregistered trademarks of and are owned or are licensed by iGAN. Only iGAN is authorized to produce and market products and literature under these trademarks and tradenames. Use of the iGAN name on any products and services not marketed by iGAN is prohibited.
2. iGANMembers shall not use any of iGAN’s current or after acquired trademarks or any confusingly similar variations of its marks, in a manner that may possibly cause confusion, mistake, or deception as to the source of the products or services advertised.
3. AiGAN member shall not use iGAN’s trademarks or any confusingly similar variation of its trademarks in a business name, e-mail address, internet domain name or sub-domain name, telephone number, or in any other address or title.
4. iGAN members hereby re-assigns to iGAN any registration he or she undertook or will undertake using iGAN designs, logos, trade names, trademarks, or internet domain names in violation of this provision and hereby designates iGAN or its duly authorized representative as its attorney-in-fact in effecting the re-assignment in the even that the member fails to make the proper re-assignment in favor of iGAN within 15 days from his or her receipt of the Notice to Reassign from iGAN. Failure to effect the re-assignment will result in the immediate termination of his membership. The provisions of this section shall survive the termination of membership with iGAN.
5. iGANMembers are not permitted to use the iGAN trade name or any of its trademarks on their business or personal checking accounts. However, members may imprint their iGAN business checks as being an “Independent marketing contractors of iGAN products.â€
6. iGANMembers are not permitted to use the iGAN trade name or trademarks in advertising their telephone or fax numbers in the white or yellow page sections of the telephone book.
7. iGAN members may incorporate into their own business card or letterhead the graphics or logo of iGAN as well as the trade name or trademarks however, only the approved iGAN graphics version and wording are permitted, and the letterhead must be ordered either from iGAN directly or from a iGAN-approved source.
Company literature. Only official iGAN literature may be used in presenting iGAN products, services and the iGAN income opportunity. Company literature may not be duplicated or reprinted without prior written permission from iGAN. All promotional material of any nature, including electronic, must be approved in advance and in writing by iGAN.
Media interviews.iGANMembers are prohibited from granting radio, television, newspaper, or magazine interviews, or using public appearances, public speaking engagements, or making any type of statement to the public media to publicize or advertiseiGAN, its products, services or their individual iGAN business without the express written approval of iGAN. All media contacts and inquiries must be coordinated with the approval of aiGAN Corporate Representative.
Internet and Web Site Policy. No iGAN member may independently design or publish a web site that uses the names, logos, graphics or product designs, marks and descriptions of iGAN without a priorwritten permission ofiGAN. No member may use “blind†ads on the Internet making product or income opportunity representations that are or may be associated with iGAN. No iGAN member may under any circumstance use the Internet for the purpose of indiscriminate “bulk†or unsolicited mailing, generally known as “spamming.â€
1. No iGAN member may violate any law, rules and regulations regarding the Internet or any generally accepted ethical codes of Internet conduct.
Independent communications.iGANMembers, as independent contractors, are encouraged to distribute information and direction to their respective downlines. iGAN encourages the use of newsletters, training workshops, and other organizational programs. Member must identify their personal communications as such, and not give the impression that such communications are the official communications of iGAN.
Endorsements. No endorsements of any kind, including those made by iGAN leaders & mentors, may be allowed, except what has been communicated in iGAN literature or approved in writing.
Copying prohibited.iGANMembers shall not copy for sale or personal use audio or video taped material detailing the iGANsystem & structure, business opportunity or product or service presentations, events, or speeches, including conference calls without prior written approval from iGAN. iGAN may seek injunctive relief, prohibition, as well as charge the violator for damages before the proper courts or administrative tribunal for the unauthorized use of iGAN copyrights, trademarks, and materials. Video or audio taping of iGAN meetings and conferences is strictly prohibited. Still photography is allowable at the discretion of the meeting host.
Telephone answering. Member may not answer the telephone by saying “iGAN,†or in any other manner that would lead the caller to believe that he or she has reached the corporate offices of iGAN.
Repackaging and relabeling prohibited.iGANMembers may not repackage or re-label any iGAN products, services or materials in any way. Nor thus any member Creates, Promotes and Sells other Product Packages other than the Packages and Promo Officially launched by iGAN office.
Systems Maintenance
1. Newly encoded member account will have 4 months free maintenance. The free maintenance is counted per calendar month. That means when a new member is encoded in the system the month of his date of registration will be the sole basis for the activation of his 1st month of free maintenance. The 3 months there after will complete his 4 months free maintenance.
2. Systems maintenance is regarded as advance maintenance for the following month. Therefore any maintenance made for the current month will reflect in the following month.
3. A system maintenance fee of $25 (E-wallet dollars)will have to be maintained on or before the last day of the free maintenance provided by the system. Example: Date of Registration July 15, 2014 (Free months July-October 2014). On or before October 31, 2014 the member must maintain $25 (E-wallet dollars) already.
4. Member Accounts that are not maintained will be subjected to a 30-50% deduction on all E-wallet income derived from both personal and group sales encoded for the month and the months thereafter until the member will be able to maintain his accounts.
5. Withdrawal of the e-wallet for the unmaintained member account will take effect 15 days after the 1st day of the month the member account is maintained.
6. All E-wallet maintenance made in an account is redeemable through a Product equivalent guided provided by the iGAN office subject on the Existing Promotional Code set by iGAN office on the date the maintenance e-wallet is being redeem by the account holder.
Member Application and Agreement.
1. Commissions and Overrides cannot be paid until a completed member Application and a signed copy of these policies and procedures signifying their conformity thereto has been received and accepted by iGAN. Commissions are paid ONLY on the sale of iGAN products and services. No commissions are paid on the purchase of a member Start-Up kit, which is sold at Company cost.
2. The company has the right to “HOLD†the encashment process of any Member who has an outstanding payable in the company and such encashment will only be released once the payables hasalready been settled.
Encoding of PIN for Member’s Account. Purchases of Packages made by an individual or a distributor on the existing Promo Packages that comes with a PIN from the iGAN office are Expected to be Encoded in the iGAN system within Four (4) Months from the date of the release of the PIN. All other PINS that are NOT Encoded after Four (4) Months from the date of its released will be considered NULL & VOID and will automatically be rejected by the iGAN System. Subsequently, All Bonuses and Commissionable points due on the PIN will also be forfeited automatically and such PIN will NO longer be used nor be replaced by the iGAN.
The Authorized person to receive the PIN and encode in the iGAN System is the Owner/Purchaser of the Package that comes with it (PIN). In the event the Owner/Purchaser is not available to receive the PIN an authorization letter with valid ID and Signature of the Owner/Purchaser must be submitted to iGAN office before the PIN will be release to its representative.
The encoding of the PIN of a new distributor can be assisted by its Sponsor Leader or by an iGANstaff should the Upline Leader is not available. However, it is the full discretion of the new distributor as to when he/she will encode it, how he/she will use it and whom he/she will ask help for encoding.
Pay OutRules
1. All commissions will be the sole responsibility of the account holder. Any transferred amount from personal account to another account will be considered as a transaction done by the account holder. Therefore, the company is not liable on any lost or questionable transactions in a member’s account.
2. All E-Wallet commissions are required to be transferto the Account of the iGAN office as part of the encashment process in every pay out transaction. The iGAN office thereafter confirms and validates the receipt of the total amount of e-wallet transferred, received and reflected to the iGAN account before any Encashment can commence.
3. Every encashment made by the account holder or member will be backed up by an ENCASHMENT FORM signed by the Account Holder or member. Unsigned encashment forms will not be processed.
4. The company does not encourage encashment made by an authorized representative. In the event that the account holder is not around during the encashment process his or her authorized representative needs to present an AUTHORIZATION LETTER signed by the Account Holder or member with a corresponding Photocopy of 1 Valid Government I.D. together with the Photocopy of the issued iGAN Members I.D. along with 3 Specimen Signatures affixed in the side of the Photocopied I.D’s for the transaction to do be process. Any encashment amounting to P25,000 and Up already requires the presence of the bonafide member.
5. All commissions will be released every Saturday through iGAN check or it will be directly deposited in the member’s CASH CARD issued or duly recognized by iGAN office. Every week there will be a cut-off of encashment. KINDLY SEE THE SCHEDULE BELOW:

6. All Gadget Incentivessuch as Tablets, Cellphones, etc. will be release after 7 working days from the date a member Qualified from an incentive. Therewill be a notification from the office on the date you can get your gadget incentive.
7. Copy of the PAY-OUT Rules are viewable in every Members Account.
8. All Rules are subject to change without prior notice at the discretion of the company.
Freeze Account
1. Member Accounts that are not producing personal sales and direct sponsoring for 6 months will be considered Automatically an In-Active account/s. All in active accounts will received an automated e-mail1 week before its 6 calendar months of none activity informing the member to produce or sponsor any of the packages currently available in the iGAN office in order to prevent the Freezing of its Member Account. The automated e-mail is directed to the e-mail address provided by the Account Holder on the date of its application as member. None acceptance of automated the e-mail by iGAN due to wrong e-mail address, in active e-mail account and other technical concerns are No Longer obligation of the company and is understood as the sole responsibility of the independent distributor and therefore thus not hold any of the Policies, Procedures and Ruling of iGAN invalid.
2. In the event that a member failed to sponsor any of the packages currently available in the iGAN office the system will automatically freeze his or her Account and the member loses all rights to commissions, bonuses, and all other benefits.
3. To unfreeze his or her account a member will simply write the main office of iGAN his intention to continue his membership and all his privileges and at the same time make a direct sponsorship of at least 1 of the Approved Activation Packages Provided by the iGAN office for his or her activation in the system.
4. Member Accounts that are freeze for 1 year without any letter of advice submitted in the main office ofiGAN and without sponsoring a package activation is considered permanently freeze and needs to re-enroll again as a new member should he or she wants to continue ones more.
Dynamic Compression
iGAN mentors and leaders who have Member Accounts under them that are temporarily or permanently freeze will have to write the main office iGAN requesting for an activation of the Dynamic Compression System. Upon thorough investigation done by the iGAN office the Dynamic Compression will take effect 30 to 60 days after the request was granted. The system will then bypass the freeze account and automatically connect the points to the next active member account. An administrative fee to effect the documentation and recording of the requested Dynamic Compression will be charged.
Stockpiling prohibited. The iGAN program depends on, and requires, retail sales to the ultimate consumer; therefore, all forms of stockpiling or product loading are discouraged. iGAN recognizes that members may wish to purchase certain products in reasonable amounts for their own use and for availability to new member as they are enrolled. However, iGAN strictly prohibits the purchase of products in unreasonable amounts solely in an attempt to qualify for advancement in the marketing incentive plan.
Sales volume qualification by order taking.iGAN has adopted minimum personal and group business volume requirements. Minimum business volume requirements may also be fulfilled by member by taking orders from retail customers.
Shipping costs. iGANMembers have the responsibility to indicate the method and means of shipping and the destination address.
1. The methods available are stated on each order form and the prepaid costs, if selected, can be calculated by the shipping and handling cost information also provided.
2. Should the receiving party of any order shipped from iGAN refuse delivery and the shipment be returned to iGAN, the ordering member’s status will be made “inactive†pending resolution of the delivery refusal. Non-accepted delivery charges will be debited to the member‘s account.
Damaged goods. The shipping company is responsible for any damage that occurs after it takes physical custody of the goods. A member who receives damaged goods should follow this procedure:
1. Accept delivery.
2. Before the driver leaves, document on the delivery receipt the number of boxes which seem to be damaged.
3. Save the damaged products or boxes for inspection by the shipping agent.
4. Make an appointment with the shipping company to have the damaged goods inspected.
5. File a claim with the shipping company.
Receipts and suggested retail pricing.iGAN will provide all retail purchasers of iGAN products with written receipts. iGAN provides a suggested retail price (SRP) as a guideline and members are expected to follow and comply with the SRP provided by the iGAN office
Sales tax.
1. For purchases made from the company, iGAN collects and remits applicable taxes due to the government.
2. All commissions is subject to a 10% Withholding Tax in accordance to the Philippine Republic Act Nos. 8424, 9337, 9442, 9504Sections 57 to 58 and 78 to 83 of the National Internal Revenue Code (NIRC). With regards to this all Account Holders should submit their Taxpayer’s Identification Number or TIN.
3. iGANMembers are responsible in paying the proper taxes as may be due to the government in the course of their sales and operations.
Service-oriented establishments. It is permissible to take orders for iGAN products and services in businesses such as professional services offices, “by appointment†establishments or similar non-retail establishments.
Price changes. All products and services as well as literature prices are subject to change without notice.
Quality control.iGAN will replace, within 30 days of purchase, any product found to be defective. However, no product should be returned to iGAN before prior approval is received. Strict compliance with the following is required:
1. A written replacement request must be submitted, stating the reason for the request and accompanied by proof of payment and a copy of the purchase order form or packing slip.
2. Products for replacement should be presented to the iGAN office complete with the all the Packaging and authenticity forms and cards issued by the iGAN office.
3. iGAN will instruct the member where to ship the product for inventory and verification, and will also provide the appropriate quantity of the authorized product return with shipping labels. Upon receipt and verification of the product, iGAN will ship the replacement product as appropriate.
4. Any return received without prior approval will cause the status of that member to be made “inactive.†Further, there is no assurance that the products returned without the prior approval of iGAN will be replaced.
Liability. To the extent permitted by law, iGAN shall not be liable for and the member releases iGAN from, and waives all claims for any loss of profits, direct or indirect, special or consequential damages or any other loss incurred or suffered by member as a result of (a) the breach by member of these policies and procedures, (b) the operation of member’s business, (c) any incorrect or wrong data or information provided by member, or (d) the failure to provide any information or data necessary for iGAN to operate its business, including without limitation, the enrollment and acceptance of the member into the business opportunity or the payment of commissions and bonuses.
Income claims.
1. No income claims, representations, or projections not specifically published by iGAN in its official literature may be made or presented to prospective members.
2. Any false, deceptive or misleading claims regarding the income opportunity or the products and services being marketed by iGAN are prohibited.
3. iGAN Members must be cautious in representing hypothetical income figures based upon the power of network marketing and must inform the prospective member the conditions before such income is actually gained.
Amendments.iGAN reserves the right to add, modify or amend these policies and procedures as well as the prices and availability of products and services, and the marketing incentive plan as it deems appropriate. Amendments will be communicated to all members through iGANsystem, official sites or publications. Amendments are effective and binding on all members as of the date of their publication.
Non-waiver provision. Delay or failure of iGAN to exercise any right, privilege or discretion under these policies and procedures or to enforce strict compliance by a member with any obligation or provision herein, and no custom or practice of the parties at variance with these policies and procedures, shall constitute a waiver by iGAN of its right to demand exact compliance with these policies and procedures. Any waiver by iGAN shall only be valid if reduced in writing by an authorized officer of iGAN.
iGAN’s waiver of compliance by any member with any particular provision of these policies and procedures shall only pertain specifically to the terms of the waiver and shall not affect or impair iGAN’s rights with respect to any subsequent violation or failure to comply by the said member for which he or she was given a waiver for. Moreover, the waiver shall not affect in any way the rights or obligations of any other iGAN members.
Severability. If any provision of these policies and procedures or any specification or operating procedure which iGAN has prescribed is held to be invalid or unenforceable under any law, rules or regulations, the invalid or unenforceable provision shall not render the whole or the remaining terms, conditions and provisions of these policies and procedures as void or unenforceable. iGAN shall have the right to modify the void or unenforceable provision to the extent necessary to render it valid and enforceable. All iGANmember shall be bound by any such modification.
Jurisdiction, Venue & Notices
1. All disputes and claims relating to these policies and procedures, the GAN marketing incentive plan, the products and services it markets the rights and obligations of a member and iGAN, or any other claims or causes of action relating to the performance of these policies and procedures by either party, shall be governed by the Philippine laws and shall be adjudicated totally and finally under the jurisdiction of Philippine courts, tribunals or arbitrator as may be provided for or allowed by law at the option of iGAN.
2. Venue of actions shall be in the appropriate courts in Davao City or in such other venues as may be allowed by law at the Option and Choosing of Innovative Global Achievers Network, Inc.
3. Notices under these policies and procedures shall be delivered either personally, by email or any other electronic means as well as by mail to the address indicated by the member in his or her application form. The notice shall be deemed delivered upon personal receipt by the member or his representative, or upon the expiration of 15 days from the date the notice is delivered by email or other electronic means to the member’s email address or other Internet platform where he or she can receive messages. The notice shall likewise be deemed delivered after 15 days from receipt by the member’s spouse or any adult residing at the residence of the member. Notices are likewise deemed delivered by any of the ways recognized by law.
Limitation of Damages.
1. To the extent permitted by law, iGAN and its affiliates, officers, directors, founders, employees, and other representatives shall not be liable for, and the member hereby releases the foregoing from and waives any claim for loss of profit, incidental, special, consequential, or exemplary damages which may arise out of any claim whatsoever relating to iGAN’s performance, non-performance, act, or omission with respect to the business relationship or other matters between the members and iGAN.
2. Furthermore, it is agreed that any damage to the member shall not exceed, and is hereby expressly limited to, the amount of unsold GAN products owned or held by the member as well as to commissions gained for actual products and services sold after taking into consideration the pay-outs, commissions, incentives (cash or in kind) already received by a member with in the period of his membership.
Policies & procedures binding as a contractual agreement
These policies and procedures shall be valid and binding as a contract between iGAN and the member upon signing by the member of his or her conformity hereto.
